The contract is deemed concluded when the Buyer gives their approval on the checkout page. This document is provided in Turkish and English; in case of any discrepancy, the Turkish version prevails.

1. Parties

Buyer: the person placing the order and declaring their billing details on the checkout page. The Buyer’s name, address and contact details are held in the order record. If the Buyer is a merchant or company, the consumer-specific provisions of Law No. 6502 do not apply; the Turkish Commercial Code (Law No. 6102) and the Turkish Code of Obligations (Law No. 6098) apply instead.

2. Subject

The subject of this contract is the sale and performance of the service (software subscription, service package or consulting session) ordered electronically by the Buyer on kodzoft.com, whose characteristics and price are stated in the order summary on the checkout page, and the rights and obligations of the parties in this respect.

The Buyer acknowledges having been informed, before payment, through the Pre-Contract Information Form about the main characteristics of the service, its price, payment and performance terms, and the right of withdrawal and its exceptions, and having confirmed this information electronically.

3. Service, price and payment

The name, scope, duration, unit price, VAT amount and total price including VAT of the service appear in the order summary and are stored in the order record. The price at the time of ordering is not affected by later changes to the service price.

The price is collected by debit or credit card, in a single instalment, on the secure payment page of the payment institution iyzico. Performance does not begin until payment is confirmed. If payment is not confirmed for any reason, the order remains “awaiting payment”; the Buyer may retry payment from their account.

For subscriptions, the Buyer accepts that renewal payments are taken at the start of each period, at the same amount, from the card stored by the payment institution. Renewal, cancellation, price changes and failed payments are governed by the Subscription Terms, which form an integral part of this contract.

4. Performance

The service is performed digitally. For software subscriptions, access is granted when payment is confirmed; for service packages, work begins within the period stated on the product page; consulting sessions take place on the day and time chosen by the Buyer, via the online meeting link sent by e-mail.

The Seller undertakes to perform the service in accordance with the contract, with due care and within the scope stated on the product page. The Seller is not liable for delay or non-performance caused by the Buyer (such as incorrect contact details, not attending the meeting, or failing to provide required information and access) without fault on the Seller’s part.

5. Right of withdrawal

The Buyer acknowledges that, under Article 15(1)(ğ) and (h) of the Regulation on Distance Contracts, there is no right of withdrawal for services performed instantly in electronic form or for services whose performance began with the Buyer’s approval before the withdrawal period expired. The Buyer has expressly approved on the checkout page that performance begin immediately.

Cancellation and refund of services whose performance has not yet begun are subject to the Delivery, Cancellation and Refund Terms. Refunds are made to the card used for payment within 14 days of the refund decision at the latest.

6. Buyer’s obligations

  • To provide accurate and current billing and contact details on the checkout page, and to update them in the account when they change.

  • To keep account credentials confidential and to accept responsibility for transactions made from the account.

  • To use the service lawfully, in accordance with this contract and the Terms of Use, and without infringing third-party rights.

  • To attend consulting sessions at the chosen time or to reschedule within the period set out in the Delivery, Cancellation and Refund Terms.

7. Invoice and records

For every payment, the Seller issues an e-Archive or e-Invoice within 7 days of the payment date and delivers it to the Buyer’s account and e-mail address. Order, payment and consent records are kept by the Seller for the statutory retention periods and used as evidence in case of dispute.

8. Personal data

The Buyer’s personal data are processed for the purposes and on the legal bases explained in the KVKK Privacy Notice. Data required to conclude and perform the contract (identity, contact, billing and payment details) are processed on the basis of performance of the contract under Article 5 of Law No. 6698.

9. Disputes

Turkish law applies to disputes arising from this contract. A Buyer who is a consumer may apply to the Consumer Arbitration Committees at their place of residence or the Seller’s location, within the monetary limits set annually by the Ministry of Trade, and to the Consumer Courts above those limits. For disputes with merchant Buyers, the courts and enforcement offices at the Seller’s location have jurisdiction.

10. Entry into force

This contract enters into force when the Buyer declares on the checkout page that they have read and accept it and the payment is confirmed. The version accepted by the Buyer is stored with the order record together with the time of acceptance and can be viewed in the account. The Seller may amend the contract text prospectively; contracts already concluded remain subject to the version in force at the time of conclusion.
